SUMMARY

The In-house Legal Counsel oversees the legal aspects of the business through safeguarding Bay Cities’ reputation by guaranteeing that the company strictly follows law guidelines. The In-house Counsel provides legal advice to Management about all relevant issues and effectively ensures legal conformity and minimizes probability of exposure. 


JOB FUNCTION/PURPOSE

· Drafting, reviewing, negotiating, and finalizing various contracts including distribution, purchasing, supply, licensing, technology, NDA, equipment, supply, lease, consulting, and marketing contracts. 

· Preparing, reviewing, and negotiating requests for proposals and other legal documents.

· Manage outside legal resources across a range of issues, including contract disputes and litigation.

· Resolving issues that arise in existing commercial relationships and handling pre-litigation legal disputes and inquiries. 

· Consulting with management, commercial advisors, tax experts, accountants, and marketing staff as necessary.

· Continuously improving the contract templates and contract terminations process. 

· Serves as a liaison for various areas, including creating and reviewing related agreements; works strategically to provide guidance to internal team members and relevant areas of the business. 

· Assists in analyzing current company procedures and contracts to identify best practices. 

· Supports strategies for reducing costs and transferring risk.

· Provides support to internal business units, external customers, vendors and strategic partners to provide timely updates and counsel on various legal and contractual issues.

· Provides legal support on compliance related issues as directed by President/CFO


Requirements

 

EDUCATION, EXPERIENCE & COMPETENCIES

· Proven experience as a Legal Counsel in business environment; In-house experience is a plus

· Excellent knowledge and understanding of corporate law and procedures

· Full comprehension of the influences of the external environment of a corporation.

· Demonstrated ability to create legal defensive or proactive strategies.

· ESOP or ERISA law experience is a plus.

· Litigation experience a plus.

· Understanding of the Retail Value Chain a plus. 

· High degree of professional ethics and integrity. 

· Sound judgement and ability to analyze situations and information. 

· J.D. Degree required with the addition of an MA or BSc in Business Administration will be considered an advantage. 

· Ability to demonstrate sound judgement in ambiguous situations. 

· Ability to work independently while being able to contribute successfully to cross-functional teams.

· Excellent organizational skills, ability to manage multiple projects at once, follow through, meet deadlines.

· Up to 10% local travel.

· Physical and Environmental Requirements: While performing the duties of this Job, the employee is regularly required to talk or hear. The employee is frequently required to stand and sit. The employee is occasionally required to walk and reach with hands and arms. The employee must occasionally lift and/or move up to 40 pounds. Specific vision abilities required by this job include close vision and color vision.

· Work environment includes front-office and manufacturing. The noise level in the work environment is usually moderate.
